Partner Program Terms.

Please read these before applying. Applying to and participating in the program binds you to what's below.

1. Program overview

The Pass-IT Partner Program lets educators, tutors, and creators earn commission by recommending Pass-IT to students preparing for certification exams.

Applying to and participating in the Program binds you to these terms. The Program rewards recommendations that help students pass, not bulk signups that never convert.

2. Commission structure

Partners earn 30% on every subscription payment made by students referred through their unique link. The commission recurs for as long as the referred student keeps an active subscription.

Commission is calculated on the gross purchase amount before any discounts or fees. Commissions are tracked in real-time and visible in your partner dashboard.

Example. A student on the $19.99/month Pro plan generates $6.00 in commission per month, every month they stay subscribed.

Rate guarantee. If we change the commission rate going forward, the new rate applies only to students you refer for the first time on or after the change. Students you already referred keep earning at the rate in effect when they first signed up.

If you choose to pass part of your commission through to your students as a permanent Pro discount, see §14.

3. Payouts

Minimum payout: $50.00 USD.

Payouts run monthly, typically within the first 7 business days of each month for the previous month's earnings.

If your earnings are below the $50 minimum, they roll over to the next month until the minimum is met.

Payouts are sent via Stripe Connect to your bank account. You must complete Stripe onboarding (tax forms and bank verification) before any payout can be released.

Refunds and chargebacks. Every commission enters a 90-day hold from the date of the underlying payment. A refund or chargeback inside that window deducts the matching commission directly from your held or pending balance. Refunds after the hold expires are rare (Pass-IT's standard consumer refund window is 14 days) but, if granted, will be deducted from your next payouts.

4. Stripe Connect requirements

Partners must complete Stripe Connect onboarding to receive payouts. This covers:

  • Government-issued ID verification.
  • Tax form (W-9 for US residents, W-8BEN for international partners).
  • Bank account for direct deposit.
  • Business information, if you operate as a business.

Payouts are held until Stripe onboarding is complete.

5. Refund clawback

Commission on each payment is held for 90 days before it becomes payable. During the hold, a refund or chargeback on that payment removes the matching commission directly from your held balance — no negative balance, no money owed back.

Refunds processed after the 90-day hold are uncommon (Pass-IT's standard consumer refund window is 14 days), but they do happen — for example, a long-tenured subscriber granted a goodwill refund, or a chargeback raised long after the fact. In those cases, Pass-IT may deduct the matching commission from your next payouts. Already-paid balances are not retroactively reversed.

6. What's not allowed

The following will end your participation and forfeit pending commissions:

  • Self-referrals: using your own link to subscribe yourself, or running multiple accounts to generate commission.
  • Fake referrals: creating fake accounts, using bots, or paying people to sign up just to trigger commission.
  • Misleading claims: promising exam guarantees, faked outcomes, or anything Pass-IT does not actually offer.
  • Trademark misuse: bidding on Pass-IT branded keywords in paid search, or using our logos without written permission.
  • Spam: unsolicited email or messages, or scraping audiences you don't have a real relationship with.
  • Cookie stuffing: tricking users into loading your link via hidden iframes, pop-unders, or forced redirects.

We review suspicious activity manually. Violations end the partnership and may forfeit unpaid commissions.

7. Termination

Either side can end this partnership at any time.

Pass-IT may suspend or end your partner account for:

  • Violating these terms.
  • Fraudulent activity.
  • Repeated refunds or chargebacks from referred students.
  • Reputational harm to Pass-IT.

On termination: pending commissions above the $50 minimum are paid out. Anything below is forfeited. Terminated partners cannot reapply.

You can leave the program at any time by emailing info@pass-it.ai. Earned commissions are paid on the standard payout schedule.

8. Data and privacy

Tracking. We use cookies to attribute purchases to your link. Participating in the program means you accept this tracking for commission attribution.

Student privacy. You do not receive personally identifiable information about referred students. Your dashboard shows aggregate stats and anonymized referral counts.

Payment data. Your bank details are handled by Stripe Connect. We do not store them on our servers.

Confidentiality. Non-public information you learn through the program — commission structures, internal systems — stays confidential.

Compliance. When you collect or use personal data in your own marketing, follow applicable privacy laws (GDPR, CCPA, and others that apply where you operate).

9. Tax

You are responsible for tax on your partner earnings. Pass-IT does not withhold tax from payouts.

Tax documents are generated through Stripe Connect: US-based partners earning $600 or more in a calendar year receive a Form 1099-NEC from Stripe on Pass-IT's behalf. International partners follow their local tax rules; Stripe issues the equivalent local form where it supports one.

Partners are independent contractors, not employees. Self-employment tax, VAT, GST, and similar are yours to handle.

If you're not sure how this applies to you, ask a local accountant.

10. Your marketing, your responsibility

You are responsible for what you publish or say about Pass-IT. If a third party brings a claim against Pass-IT because of statements you made (including exam-outcome guarantees or other claims Pass-IT does not actually offer), unauthorized use of our trademarks, spam complaints, or breach of privacy law in your marketing activities, you agree to cover the resulting costs — including reasonable legal fees and any settlement or judgment.

If we receive such a claim, we'll notify you promptly so you can take part in the defense. We won't settle a claim that admits fault on your behalf without your consent.

11. Disclaimers and limits of liability

The program and the Pass-IT platform are provided as-is. We do not guarantee uptime, conversion rates, or that referrals from any specific channel will produce commissions.

Pass-IT's total liability under this agreement for any claim — including disputes over commission, payouts, or program changes — is capped at the total commission paid to you in the twelve months immediately before the claim.

Neither side is liable to the other for indirect, incidental, or consequential damages, including lost future commissions, lost profits, or business interruption. This limit applies even if a party knew the damages were possible.

12. Governing law and disputes

These terms are governed by the laws of Switzerland, without regard to its conflict-of-law rules.

Any dispute arising out of or in connection with these terms is subject to the exclusive jurisdiction of the ordinary courts of Zurich, Switzerland.

13. Changes to these terms

We may update these terms. Material changes are emailed to active partners at least 30 days before they take effect.

Staying in the program after a change takes effect counts as accepting the updated terms. Commission-rate changes are governed by the rate guarantee in §2 above.

14. Optional: student discount split (v4)

You may choose to convert part of your 30% commission into a permanent Pro discount for the students you refer. The split is between 0% and 30%, in whole percentage points. Whatever percentage you keep is paid to you as commission; the rest becomes a discount on the student's Stripe subscription.

The discount is permanent for that student. The Stripe coupon attached at signup is bound to their subscription for its lifetime. If they cancel and re-subscribe later, the new subscription is created without the coupon and the student pays the standard rate.

Changing your split. Email info@pass-it.ai to request a change. Students who signed up under your previous split keep the rate they signed up under — Stripe-native lifetime lock. Only new signups after the change see the new split. This is admin-actioned (no self-serve UI today).

Rate guarantee, again. Splits can change going forward, but existing students never see a downgrade or change to their rate.
